Comprehensive settlement agreement reached, ending the dispute between Altarea and the shareholders of the Praemia group (formerly Primonial group)

Altarea and the shareholders of the Praemia group (formerly the Primonial group) announce that they have entered into a comprehensive settlement agreement bringing to an end the dispute pending before the Paris Court of Appeal.
The agreement was reached through a voluntary mediation process, reflecting the parties’ shared intention of achieving a constructive, balanced and secure resolution.
It brings all disputes between the parties to a definitive close. The parties have agreed that no fault is to be attributed to any of them, and none of them admits any liability.
The parties mutually withdraw all ongoing proceedings and waive their respective claims for damages. They also undertake not to initiate any new legal proceedings in connection with the facts and claims underlying the dispute.
Altarea has made a settlement payment of €10 million to the relevant manager-shareholders.
In addition, as part of its strategic roadmap, the Praemia group announces that it is strengthening its equity base through a €60 million subscription by Altarea of preference shares carrying non-voting and preferential liquidity right and priority dividend rights. This transaction does not entail any change to the Praemia group’s strategic direction.
Altarea, the shareholders of the Praemia group and its management welcome this agreement, which brings the dispute to a close and opens a new chapter in a spirit of conciliation.
